WildBrain Acquires Personality AI to Build Kid-Safe Conversational Characters

The move adds generative-AI character tech to WildBrain’s licensing strategy to help create recurring revenue if performance targets are met.

Overview

  • WildBrain announced Monday that it has bought 100% of Personality AI for $11 million in cash plus 1 million WildBrain shares with an extra $2 million due on the first anniversary and up to $56 million in performance-based cash earnouts through 2029.
  • The shares issued in the deal are subject to a six-month lock-up and the companies described the total potential consideration as roughly $69–70 million when earnouts are met.
  • Founder John Goscha will join WildBrain as executive vice president and Personality AI’s team will be folded into WildBrain’s licensing arm, WildBrain CPLG, to sell interactive character experiences to partners and platforms.
  • Both companies stressed child-safety controls for the technology, saying Personality AI does not retain voice recordings or other personally identifiable information and participates in the PRIVO COPPA Safe Harbor oversight program.
  • WildBrain said the acquisition should drive recurring digital revenue for its franchises and be EBITDA-accretive in fiscal 2027 while positioning the company to scale interactive IP products across toys, apps and subscription platforms.
