Vertex to Buy Crinetics for $10 Billion

The deal gives Vertex an approved oral acromegaly medicine and a late-stage adrenal disorder candidate to establish a specialty endocrinology foothold.

Overview

  • Vertex and Crinetics signed a definitive all-cash agreement announced July 6, 2026 under which Crinetics shareholders will receive $85 per share in a transaction valued at $10 billion, or about $8.8 billion net of Crinetics’ cash.
  • The purchase has unanimous board backing from both companies and includes standard deal provisions that accelerate unvested awards, cancel deeply out-of-the-money options, and set a roughly $350 million termination fee in specified cases.
  • Vertex plans to fund the deal with cash on hand plus new borrowing and has a committed $4.5 billion, 364-day unsecured bridge loan from a bank syndicate while noting that closing is not contingent on securing that financing.
  • The acquisition brings PALSONIFY, an FDA- and EMA-approved once-daily oral treatment for adults with acromegaly that launched in the U.S. in October 2025, and atumelnant, a once-daily oral ACTH receptor antagonist in late-stage development for congenital adrenal hyperplasia.
  • The transaction must clear U.S. Hart-Scott-Rodino antitrust review, foreign regulatory approvals and a Crinetics shareholder vote before closing, and it could speed patient access to oral endocrine therapies while shifting Vertex’s revenue mix if regulators approve the deal.
