Smarter Web Sells 178 BTC to Repay $11.7M Convertible

The company used Bitcoin to settle a TOBAM-held financing early to remove a potential 7.72 million-share conversion and preserve its long-term accumulation plan.

Overview

  • The Smarter Web Company sold 177.8909127 BTC to raise $11,698,540 and repaid the Smarter Convert instrument about two weeks before maturity on Thursday, July 23, 2026, with TOBAM’s support.
  • Early repayment eliminated the possible issuance of 7,718,551 ordinary shares that would have occurred if the convertible had converted into equity.
  • The BTC used for the repayment were the coins bought with the original Smarter Convert proceeds under the August 2025 agreement that required most subscription funds be invested in Bitcoin.
  • After the transaction the company retained a treasury of 2,700 BTC and says the sale was a balance-sheet and anti-dilution decision rather than a change to its 10-year Bitcoin accumulation plan.
  • The move signals more routine corporate treasury management of crypto holdings and shows Smarter Web is stepping away from convertibles as its current preferred funding tool, with observers watching for future capital choices and continued custody and risk controls such as the firm’s use of Coinbase Institutional.
