- A securities complaint has been filed in the U.S. District Court for the Southern District of New York alleging violations of Sections 10(b) and 20(a) and Rule 10b-5 in docket 26-cv-03790.
- The lawsuit says Graphic Packaging misled investors by downplaying inventory management problems, falling demand, and rising costs and that those statements rendered its prior guidance and public disclosures false.
- Plaintiffs point to a May 2025 guidance cut, an accelerated inventory reduction and CEO departure in December 2025, and February 3, 2026 disclosures that included an estimated $130 million inventory-related hit and about $100 million in accruals as the market-moving events.
- On Friday, June 5 several plaintiff firms including Schall, DJS and Rosen issued notices seeking shareholders to join the suit or move for lead-plaintiff status with a July 6, 2026 deadline to do so.
- No class has been certified and the allegations remain unproven; the appointed lead plaintiff will control key steps such as discovery and settlement talks and any recovery will depend on further litigation or a court judgment.
