Overview
- RWE announced an agreement to buy the additional Amprion stakes held via the M31 vehicle so its indirect holding rises from about 20% to 55% at a purchase price of roughly €3.6 billion.
- The company will fund the acquisition with an equity measure of up to about 10% of share capital, offering roughly 74.4 million shares through an accelerated placement split between new issue and treasury stock.
- Qatar Investment Authority and Norway’s sovereign wealth fund have committed as anchor investors, each agreeing to subscribe about €1 billion to support the placement.
- RWE says it will increase Amprion’s planned network spending to roughly €6.5 billion through 2031, about €4 billion more than previously planned, to expand transmission lines and integrate more renewables.
- The transaction is subject to competition and energy regulator approval and RWE expects to close the deal in the third quarter of 2026; shareholders will face dilution and Amprion says it will remain an independent operator under its current management.
