Ripple Prime Raises $275 Million in Upsized Senior Notes Offering

A BBB-rated unsecured debt sale widens investor eligibility to provide capital for U.S. prime-brokerage hiring, technology and working capital.

  • Ripple Prime completed an upsized private placement of $275 million in senior unsecured notes that closed on August 18, giving the unit new long-term financing for its U.S. expansion.
  • The notes received a BBB investment-grade rating from rating firms reported in coverage, which makes the bonds eligible for a broader set of institutional buyers such as pension funds and insurers.
  • Combined with a $200 million asset-backed facility secured in May, Ripple Prime now has roughly $475 million of new financing that mixes unsecured debt and collateralized capacity to support lending and margin services.
  • Ripple Prime said proceeds will fund working capital and growth in the United States, and company leadership said the capital will be used to hire staff and invest in trading, clearing and technology; Piper Sandler acted as lead placement agent.
  • The funding builds on Ripple’s October 2025 acquisition and rebrand of Hidden Road into Ripple Prime and could lower funding costs versus lower-rated competitors while enabling larger institutional lending, clearing and collateral uses including integration with Ripple’s stablecoin offerings.
