Paramount Skydance Nears Close of Warner Bros. Discovery Acquisition

A $44.4 billion private note sale increases pressure to finish financing before ticking fees start.

Overview

  • Paramount reached settlements with California, 11 other states and the Writers Guild on Sept. 21 that removed the main legal hurdle to the $110 billion takeover and imposed enforceable production, governance and consumer safeguards.
  • The agreement requires at least $1.5 billion more in U.S. production spending over five years, a minimum annual slate of 30 theatrical films, editorial‑independence measures for CNN and CBS, and penalties including possible asset sales for noncompliance.
  • Paramount announced a roughly $44.4 billion private placement of senior secured notes on Sept. 28 to help fund the purchase and said the merger is not strictly contingent on that specific debt sale succeeding.
  • The company extended exchange and cash acquisition offers for existing Discovery notes to Oct. 6 and has already received about two thirds to three quarters of tenders, while a ticking fee of roughly $650 million per quarter will begin if the deal slips past Oct. 1.
  • Markets reacted to the developments with WBD shares jumping after the settlements and PSKY dipping about 1% after the debt announcement, and investors now watch financing execution, the ticking‑fee timeline and integration risk to judge whether the merger creates value.
