ORIX Aviation to Acquire AerFin to Add Aftermarket and MRO Capabilities

The deal folds AerFin’s global parts trading and engine MRO network into ORIX Aviation’s leasing, asset-management platform and targets a year-end 2026 close pending regulatory approval.

Overview

  • ORIX Aviation and AerFin signed a definitive agreement on Monday, Aug. 3, 2026, under which AerFin will become an ORIX-owned company once regulators clear the transaction.
  • AerFin is an aviation aftermarket specialist that buys, sells, leases and repairs aircraft, engines and parts and operates hubs in the UK, Miami, Singapore and Dublin with more than 230 employees.
  • ORIX Aviation, which owns and manages over 230 aircraft for more than 60 airline customers, said the purchase will broaden its ability to manage assets across the full aircraft lifecycle from leasing through end-of-life parts and repairs.
  • Both companies disclosed the deal advisers—Goldman Sachs, Rothschild & Co, Gibson Dunn, Baker McKenzie, EY, KPMG, PwC and BCG among others—but did not reveal a purchase price and said customary closing steps remain outstanding.
  • Customers and lessors could gain faster access to parts and repair capacity and improved asset reuse under the combined platform, while AerFin’s founder and majority investor CataCap will step back as the business joins ORIX.
