Metaplanet Uses 2,100 BTC to Take Control of Nasdaq’s Super League and Create U.S. Bitcoin Treasury

  • Metaplanet announced Tuesday that it will contribute 2,100 BTC and $2.5 million to Nasdaq‑listed Super League Enterprise in exchange for 44,859,400 common shares, preferred stock and warrants that give it roughly 95.7% ownership.
  • The transaction will rebrand Super League as Superplanet (ticker SUPA) and installs Metaplanet‑appointed directors to hold five of nine board seats while common shares issued to Metaplanet will carry a five‑year lockup.
  • Superplanet’s capital plan includes 10‑year warrants covering up to 381 million shares and a 24‑month option for Metaplanet to buy up to $210 million of junior preferred stock, but those cash inflows would require future exercises or offerings and are not guaranteed.
  • The 2,100 BTC equals about 4.9% of Metaplanet’s reported ~43,000 BTC and will remain inside Metaplanet’s consolidated group, creating concentrated exposure to Bitcoin price swings for both companies and for holders of any Bitcoin‑backed preferred securities.
