- Raízen announced on Thursday that it has agreed to sell its Argentine downstream business to Mercuria Energy Group for US$1.42 billion, a price that covers capital of work, cash, debt and fees and is subject to final adjustments.
- The package transfers 894 Shell service stations, the Dock Sud refinery, a lubricants plant in Buenos Aires, two aeroplant sites at Ezeiza and Aeroparque and fuel terminals in Arroyo Seco and Santa Fe.
- Mercuria and Shell have reported a brand license that will let the new owner use the Shell name so customers should see no immediate change, and Mercuria says it will seek to keep employees, suppliers and customers in place.
- The deal remains conditional on regulatory and judicial approvals and customary closing adjustments, with parties expecting to finish approvals before mid‑2027 and for operational control to move within 30 to 60 days after those clearances.
- Mercuria already has local ties through past partnerships and sector reports say a consortium linked to José Luis Manzano and Edenor may take a stake, a move that would expand Mercuria’s regional footprint and could be used to add services such as EV charging and renewable projects; the participation has not been formally disclosed to the exchange.
