Overview
- MDA signed a definitive agreement on June 19, 2026 to acquire 100% of Blue Canyon Technologies from RTX’s Raytheon business for an enterprise value of US$620 million and said the purchase is fully committed and financed at signing through senior secured debt.
- The company expects the transaction to close by the end of 2026 subject to customary closing conditions, regulatory approvals and any purchase price adjustments.
- MDA said the deal will add more than 400 employees, two manufacturing facilities in Denver, Colorado, and BCT’s flight heritage of over 85 launched spacecraft and 3,500+ products on orbit.
- Management projects the acquisition will be accretive to adjusted EBITDA and adjusted EPS in 2027 and will add about US$3.5 billion to MDA’s opportunity pipeline while keeping 2026 pro forma leverage inside its stated 1.5x–2.5x target range.
- MDA is a 55‑year‑old space systems firm with roughly 4,000 employees, and the purchase is meant to strengthen its technical base and U.S. defence bidding position though closing risks, regulatory review and realization of synergies remain uncertain.
