iRobot Files Pre-Packaged Chapter 11 as Main Supplier Picea Moves to Take Over

Court approval would cancel existing shares, transferring full ownership to Picea.

  • iRobot and certain affiliates filed for Chapter 11 in the District of Delaware on Dec. 14 to implement a pre‑packaged restructuring agreed with Shenzhen PICEA Robotics and Santrum Hong Kong.
  • Under the restructuring support agreement, Picea would receive 100% of the reorganized equity and iRobot would emerge as a private company.
  • Management says operations will continue in the ordinary course during the case, with app functionality, customer programs, supply chain relationships, and product support unaffected, and with vendors and employees paid in full.
  • Existing shareholders are expected to receive no recovery, with all outstanding equity canceled if the court confirms the plan.
  • iRobot targets completion of the process by February 2026, has filed customary motions to support business continuity, and has appointed Stretto to host public case documents.
