Hillman to Acquire Kanebridge for $315 Million

Hillman plans to fund the purchase using cash plus new borrowings to expand its industrial addressable market to about $3 billion.

Overview

  • The boards of Hillman Solutions and Kanebridge have signed a definitive agreement for a $315 million acquisition that remains subject to regulatory approval and customary closing conditions.
  • Hillman says the deal will double the size of its industrial business by adding Kanebridge’s master‑distribution platform, which stocks more than 44,000 fastener SKUs and ships same‑day through its FasNet ordering system from warehouses in Illinois and California.
  • Hillman reported that Kanebridge delivered roughly $65 million of revenue and about $30 million of adjusted EBITDA over the trailing 12 months, and management expects the acquisition to be accretive to margins and earnings through cost and cross‑sell synergies.
  • The company will fund the transaction with cash, borrowings under its asset‑based revolver and an add‑on to its first‑lien term loan, a plan Hillman says will raise leverage by about one turn and that it will prioritize debt reduction after close.
  • The transaction is expected to close around the start of fourth‑quarter 2026 and, if completed, would give Hillman a scaled U.S. master‑distribution foothold that could broaden product availability for industrial distributors and strengthen Hillman’s North American industrial strategy.
