Grayscale Discloses DCG Talks to Contribute 200,000 ZEC in Zcash ETF Filing

A potential in-kind transfer of more than 1% of Zcash’s circulating supply would tighten market liquidity during the SEC and NYSE review.

  • Grayscale filed Amendment No. 4 to its S-3 on Aug. 18 to convert the Grayscale Zcash Trust into a spot ETF intended to list on NYSE Arca under the ticker ZCSH.
  • The filing says DCG International Investments Ltd., a Digital Currency Group unit, is in non-binding talks to deliver roughly 200,000 ZEC in kind to the trust and that the party could choose to buy more, fewer or no shares.
  • Two hundred thousand ZEC equals more than 1% of circulating supply and would be worth about $96 million to $111 million at recent prices, which would remove that volume from the freely tradable market if the transfer is completed.
  • The amendment adds disclosures about the June Orchard shielded-pool vulnerability and the July 28 Ironwood upgrade, which replaced Orchard, introduced a new formally verified shielded pool, and implemented a supply turnstile to limit any hidden inflation risk.
  • Grayscale named Coinbase Custody as custodian and BNY Mellon as administrator and said the ETF would use its creation-redemption mechanics to tie share value to the trust’s ZEC holdings while the SEC and NYSE 19b-4 review and any DCG transfer remain unresolved.
