Gilat to Buy Most of Comtech’s Satellite and Space Unit for $157.5 Million

Regulatory clearance from CFIUS and other bodies is required before the companies can complete the transaction.

Overview

  • The companies signed a definitive agreement on June 15, 2026 under which Gilat will acquire most of Comtech’s Satellite & Space Communications segment for $157.5 million in cash with a $10 million payment made at signing.
  • The sale covers satellite ground systems, troposcatter beyond‑line‑of‑sight links, anti‑jam tactical modems used by U.S. forces, space electronics and high‑power amplifiers while largely excluding Comtech’s cyber businesses.
  • Gilat says it will fund the deal from existing cash and projects the combined business will exceed $700 million in annual revenue and raise its defense revenue share from about 25% to roughly 40%.
  • Comtech expects roughly $143 million to $145 million in net proceeds after expenses and plans to use most of that money to reduce debt and to refocus the company around its Allerium public‑safety business while retaining certain cyber assets and receivable rights.
  • The companies expect to close by Q4 2026 pending customary conditions and regulatory approvals, and the transaction revisits a strategic link between the firms after Comtech’s failed 2020 attempt to buy Gilat and later takeover pressure that reshaped both companies.
