Emirates NBD to Buy HSBC’s Egypt Retail Business

Regulatory approval is required, with HSBC projecting roughly $300 million in pre-tax gains.

Overview

  • Emirates NBD has signed a definitive agreement to acquire HSBC Bank Egypt’s full retail banking operations, transferring branches, ATMs, customer accounts, loans and deposits to its Emirates NBD Egypt unit.
  • The deal also moves retail employees to Emirates NBD Egypt under transition arrangements agreed by the banks, and both firms say customers should see no immediate changes to services.
  • HSBC will keep its corporate and institutional banking business in Egypt and says the sale supports its strategy to focus on wholesale and cross-border corporate flows.
  • HSBC estimates an approximately $300 million pre-tax gain when the transaction closes, but Emirates NBD did not disclose the purchase price and the final accounting could change before closing.
  • The transaction must clear regulators and is targeted to close in the second half of 2027, a timeline that leaves room for approvals or adjustments and that strengthens Emirates NBD’s retail footprint in Egypt as part of its regional expansion plans.
